By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.


1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and iBuild3, Inc. ("iBuild3," "we," "us," or "our") governing your access to and use of the iBuild3 platform, including related websites, applications, integrations, software, AI-powered functionality, and services (collectively, the "Service").

By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms.

If you use the Service on behalf of a company, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.


2. Eligibility and Account Registration

2.1 Eligibility

To use the Service, you must:

  • Be at least 18 years old or the age of legal majority in your jurisdiction
  • Have the legal authority to enter into binding agreements
  • Not be prohibited from using the Service under applicable law
  • Be acting on behalf of a legitimate business, organization, or authorized construction-related operation

2.2 Account Registration

You agree to provide accurate, complete, and current account information at all times.

Failure to maintain accurate account information may result in suspension or termination of your account.


2.3 Account Security

You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activity occurring under your account
  • Promptly notifying us of unauthorized access or suspected security breaches
  • Ensuring users under your organization maintain secure access practices

We strongly recommend enabling multi-factor authentication (MFA).


3. Access to the Service

Subject to compliance with these Terms, iBuild3 grants you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for legitimate internal business purposes.

You may not:

  • Copy, reproduce, distribute, or resell the Service
  • Reverse engineer, decompile, or attempt to extract source code
  • Use the Service to build competing products or services
  • Circumvent security measures or usage restrictions
  • Interfere with Service performance or infrastructure
  • Use automated tools to scrape or harvest Service data without authorization
  • Remove copyright, trademark, or proprietary notices

All rights not expressly granted are reserved by iBuild3 and its licensors.


4. Subscription Plans and Billing

4.1 Subscription Plans

The Service may offer multiple subscription tiers, feature packages, usage limits, and pricing structures.

Current pricing and plan details are available through the Service or official iBuild3 channels.


4.2 Billing and Renewal

Subscriptions are billed in advance on either a monthly or annual basis, depending on your selected plan.

Subscriptions automatically renew unless canceled before the renewal date.


4.3 Payment Authorization

You authorize us to charge your selected payment method for all applicable subscription fees, taxes, overage charges, and related costs associated with your account.


4.4 Refunds

Except where required by law or expressly stated otherwise, fees are non-refundable.

Cancellation of your subscription stops future billing but does not entitle you to refunds for previously billed periods.


4.5 Pricing Changes

We may modify pricing, plan structures, or feature availability from time to time.

Where required, we will provide reasonable notice before pricing changes become effective.


5. Third-Party Integrations and Services

The Service may integrate with third-party services and infrastructure providers.

Your use of third-party services may also be governed by those providers' separate terms and privacy policies.


5.1 QuickBooks Integration

Our Service integrates with Intuit QuickBooks to support accounting and financial workflows.

By connecting QuickBooks, you authorize iBuild3 to access and process authorized QuickBooks data necessary for synchronization and platform functionality.

You are responsible for:

  • Maintaining your QuickBooks account
  • Reviewing synchronization accuracy
  • Understanding how data changes may affect connected systems
  • Compliance with Intuit's terms and policies

We are not responsible for outages, errors, API limitations, or data inaccuracies originating from QuickBooks systems.


5.2 OneDrive Integration

The Service may integrate with Microsoft OneDrive for document storage and synchronization.

By enabling this integration, you authorize iBuild3 to access and process files you choose to sync through your Microsoft account.

You are responsible for:

  • Managing file permissions and sharing settings
  • Maintaining independent backups where necessary
  • Reviewing synchronization behavior and access permissions

We are not responsible for failures, data loss, or availability issues originating from Microsoft services.


5.3 AI and Machine Learning Services

The Service uses third-party AI providers, including:

  • Together AI
  • Google Gemini
  • OpenAI
  • Vercel AI SDK infrastructure

By using AI-powered functionality, you acknowledge and agree that:

  • Queries and relevant context may be securely transmitted to AI providers to generate responses
  • AI-generated outputs may contain inaccuracies, incomplete information, or outdated content
  • AI functionality is assistive in nature and requires human review
  • Your use of AI features remains subject to these Terms and our Privacy Policy

We do not use your data to train AI models.


5.4 Third-Party Service Dependency

Certain aspects of the Service depend on third-party infrastructure, cloud platforms, APIs, hosting providers, and external services.

We are not responsible for interruptions, errors, delays, or failures caused by third-party providers outside our reasonable control.


6. User Content and Data Ownership

6.1 Your Content

You retain ownership of all content, files, documents, project records, communications, and data you upload or process through the Service ("User Content").

You grant iBuild3 a limited license to host, store, process, transmit, display, and use User Content solely as necessary to:

  • Operate the Service
  • Provide requested functionality
  • Maintain platform security
  • Improve platform performance and reliability
  • Comply with legal obligations

6.2 Your Responsibilities

You represent and warrant that:

  • You own or have all necessary rights and permissions to use User Content
  • You are authorized to upload and process the information submitted to the Service
  • Your use of the Service complies with applicable laws and contractual obligations
  • You will not upload unauthorized, unlawful, or infringing materials

You are solely responsible for the legality, accuracy, and appropriateness of User Content.


6.3 Data Ownership and Export

You retain ownership of your business data.

Subject to technical limitations and platform functionality, you may export certain data through available Service features.

Exported data may not preserve all metadata, formatting, linked integrations, AI history, or third-party system compatibility.


6.4 Prohibited Content

You may not upload, store, process, or transmit content that:

  • Violates applicable laws or regulations
  • Infringes intellectual property rights
  • Contains malware or malicious code
  • Promotes fraud, abuse, harassment, or illegal activity
  • Violates privacy or confidentiality obligations
  • Contains unauthorized personal or sensitive information

7. Acceptable Use Policy

You agree not to:

  • Use the Service for unlawful purposes
  • Attempt unauthorized access to systems or accounts
  • Interfere with platform security or infrastructure
  • Introduce malicious software or harmful code
  • Misrepresent your identity or affiliation
  • Abuse APIs, rate limits, or platform resources
  • Use the Service to develop competing products
  • Conduct automated scraping, crawling, or harvesting without authorization
  • Use the Service in a manner that could damage, disable, or impair platform operation

We reserve the right to investigate suspected misuse and take appropriate action.


8. Artificial Intelligence Features

8.1 AI Feature Usage

AI-powered functionality is provided to assist with construction management workflows and productivity.

By using AI features, you agree to:

  • Use AI features only for lawful business purposes
  • Review AI-generated outputs before relying on them
  • Maintain human oversight over important decisions
  • Avoid submitting unauthorized third-party sensitive information
  • Respect platform usage limits and fair-use restrictions

8.2 AI Accuracy and Limitations

The Service and AI-generated outputs are provided for informational and operational assistance purposes only.

Nothing within the Service constitutes:

  • Engineering advice
  • Architectural advice
  • Legal advice
  • Accounting advice
  • Tax advice
  • Safety guidance
  • Regulatory compliance certification
  • Professional construction consultation

You remain solely responsible for all business, construction, financial, legal, and operational decisions.


8.4 No Liability for AI Output

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBUILD3 SHALL NOT BE LIABLE FOR LOSSES, DAMAGES, CLAIMS, OR LIABILITY ARISING FROM OR RELATED TO AI-GENERATED OUTPUTS OR YOUR RELIANCE ON AI FUNCTIONALITY.

This includes:

  • Budgeting or estimating errors
  • Scheduling inaccuracies
  • Project delays
  • Regulatory or compliance issues
  • Documentation errors
  • Financial losses
  • Business interruptions
  • Reputational harm

8.5 Prohibited AI Usage

You may not use AI features to:

  • Generate deceptive or fraudulent content
  • Produce unlawful or harmful materials
  • Violate intellectual property rights
  • Harvest personal information without authorization
  • Generate spam or malicious code
  • Impersonate individuals or organizations
  • Attempt prompt injection or adversarial attacks
  • Circumvent platform restrictions or safeguards

Violation of AI usage rules may result in suspension or termination of access.


9. Service Availability and Support

9.1 Service Availability

We strive to maintain reliable Service availability but do not guarantee uninterrupted or error-free operation.

The Service may experience interruptions due to:

  • Maintenance
  • Updates
  • Infrastructure issues
  • Third-party outages
  • Security incidents
  • Events outside our reasonable control

9.2 Support

Support availability, response times, and support channels may vary depending on your subscription plan.


9.3 Backups

We may maintain automated backups for operational recovery purposes.

However, you remain responsible for maintaining independent copies of critical business records and project data.


10. Beta and Experimental Features

Certain functionality may be designated as beta, preview, experimental, or early-access features.

These features:

  • May contain bugs or incomplete functionality
  • May change without notice
  • May be suspended or discontinued at any time
  • May not be supported or maintained

Use of beta features is at your own risk.


11. Intellectual Property Rights

The Service, including software, interfaces, branding, designs, functionality, and related materials, remains the exclusive property of iBuild3 and its licensors.

Nothing in these Terms transfers ownership of the Service or underlying intellectual property to you.

Our trademarks, branding, and trade dress may not be used without prior written consent.

You are solely responsible for ensuring your use of the Service complies with applicable:

Use of the Service does not guarantee regulatory compliance or project approval.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IBUILD3 AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND PARTNERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES.

THIS INCLUDES DAMAGES RELATED TO:

  • LOSS OF PROFITS
  • LOSS OF DATA
  • PROJECT DELAYS
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL
  • ESTIMATING ERRORS
  • CONSTRUCTION DECISIONS
  • AI-GENERATED OUTPUTS

15. Indemnification

You agree to defend, indemnify, and hold harmless iBuild3 and its affiliates, employees, contractors, licensors, and partners from claims, liabilities, damages, losses, and expenses arising from:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your infringement of third-party rights
  • Your misuse of AI-generated outputs or recommendations

16. Suspension and Termination

16.1 Termination by You

You may terminate your account at any time through account settings or by contacting us.

Termination does not relieve you of outstanding payment obligations accrued before termination.


16.2 Suspension or Termination by Us

We may suspend, restrict, or terminate access where reasonably necessary to:

  • Protect platform security
  • Prevent abuse or fraud
  • Enforce these Terms
  • Comply with legal obligations
  • Protect users, infrastructure, or third parties

16.3 Effect of Termination

Upon termination:

  • Your access rights immediately cease
  • Certain data may remain in backups temporarily
  • Provisions relating to liability, ownership, indemnification, payment obligations, and dispute resolution survive termination

17. Force Majeure

We are not responsible for delays, failures, or interruptions caused by events beyond our reasonable control, including:

  • Natural disasters
  • Cyberattacks
  • Internet outages
  • Cloud infrastructure failures
  • Labor disputes
  • Government actions
  • Third-party provider outages
  • Utility failures
  • Acts of war or force majeure events

18. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Louisiana, United States, without regard to its conflict of law principles.

You agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in or serving Baton Rouge, Louisiana, and you consent to the personal jurisdiction and venue of such courts.


19. Changes to These Terms

We may update these Terms from time to time.

Where changes are material, we may provide notice through:

  • Updated postings within the Service

Continued use of the Service after revised Terms become effective constitutes acceptance of the updated Terms.


20. Entire Agreement

Failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

If any provision is determined unenforceable, the remaining provisions shall remain in full force and effect.


22. Assignment

You may not assign or transfer these Terms without our prior written consent.

We may assign these Terms as part of a merger, acquisition, corporate restructuring, or sale of assets.
